Exhaust and heat exchanger replacement

My 1991 H reg car has had the bypass pipe to replace the catalyst. The other side now totally rusted out ie heat exchanger and catalyst. Hanging on by a thread... what options do I have or do other members suggest for replacing both heat exchanger and catalyst please, please?
