Porsche Club Great Britain is a company limited by guarantee and not having share capital, the Company being known as Gmund Heritage Limited, which trades as Porsche Club Great Britain.
Like all companies, we have a Memorandum of Association which is the “constitution” of the Company and which sets out various legal details, including the business purpose for which the Company is formed. As is also normal with a company, we have Articles of Association which lay down the rules governing the running of the Club. These Articles set down how Directors are appointed and when and how General Meetings are to be convened. Additionally, the Articles define the different classes of Membership and set down disciplinary proceedings for Members and Directors. The Articles set out the powers of the Directors and instruct the Board of Directors to keep proper accounts which are audited annually. It will, therefore, be understood that the Articles of Association define the framework within which the Club operates.
